Teleflex employees worldwide are united in the understanding that what we do every day makes a difference.  Teleflex has an opportunity within its in-house legal department for a highly motivated, experienced M&A attorney to join the organization as Associate General Counsel. 

Principal Responsibilities

The Associate General Counsel will be responsible for providing leadership, guidance, direction and execution in connection with Teleflex’s active M&A process. The person taking this position will work closely with Teleflex’s Business Development personnel on a broad range of day-to-day M&A activities, including the following:

  • providing oversight and legal advice with respect to M&A transactions, which will include:
    • providing advice with respect to structuring transactions;
    • drafting and reviewing agreements, directing and overseeing the work of outside counsel, conducting and overseeing aspects of the legal due diligence process, assessing due diligence findings and determining how to deal with issues that are identified and negotiating agreement terms with opposing counsel; and
    • assisting in overseeing and managing post-closing activities;
  • collaborating with business partners to devise appropriate legal strategies associated with M&A activities;
  • assisting Teleflex’s Business Development team in assessing and developing enhancements to Teleflex’s M&A practices from a process perspective;
  • such other duties as may be directed by the General Counsel.
    The person filling this role will be responsible for helping ensure consistency regarding process and contract terms from deal-to-deal, and will also implement processes to ensure that the institutional knowledge acquired in connection with each transaction is captured and shared throughout the M&A function.
Education / Experience Requirements
  • Minimum 7 years’ experience providing advice to large corporate organizations on complex M&A transactions, with at least 5 years of experience gained at a large law firm.
  • Experience in private company acquisitions required, with experience in public company acquisitions considered a plus.
  • Cross-border M&A experience in Europe and/or LatAm or Asia strongly preferred.
  • Experience working on transactions in the life sciences industry preferred.
  • Experience providing advice on corporate governance matters, SEC reporting and financing transactions considered a plus.
  • Juris Doctor from an ABA-accredited law school
Specialized Skills / Other Requirements
  • Pennsylvania Bar License, or ability to obtain Pennsylvania Limited In-House Corporate Counsel License.
  • Excellent analytical and problem-solving skills, including ability to make recommendations and exercise judgment.
  • Exceptional verbal and written communication skills necessary to communicate with all levels of management.
  • Time management and organizational skills necessary to independently manage significant number of transactions, appropriately prioritize workload, plan for resources to meet deadlines and goals.
  • Ability to maintain confidentiality and project a professional image at all times.
  • Self-motivated with critical attention to detail and deadlines.
  • Software skills, including use of Microsoft Office software and web-based applications.
  • Ability to travel on a limited basis.
