Position Summary

This role leads the OEM organization globally with all aspects related to customer and vendor contracts with a solid understanding of business requirements and adherence to corporate legal policy. The role requires a solid leader to manage the negotiating, structuring, and management of contractual documents with vendors, customers and/or partners. Train sales leaders on proper contract review and execution. Lead negotiations with customer counsel.

Principal Responsibilities

•    Provides Subject Matter Expert support for all legal issues or risk assessment that arises. Assesses risk, balances business interests and corporate guidelines. Seeks legal counsel input if needed. Advises on recommendations and decisions to internal stakeholders.
•    Lead and manage contract processes from beginning discussions thru to expiration monitoring.
•    Draft, negotiate, and finalize contracts which includes: supply agreements, quality agreements, vendor agreements and confidentiality agreements.
•    Work directly with internal stakeholders to provide guidance and recommendation on contractual terms and provisions, legal and business issues and risk assessments for the organization.
•    Act as the communication liaison between internal departments, external customers (as required) and the legal department to balance input on terms and contractual provisions, legal and business issues and risk assessments for the organization.
•    Prepare language according to the terms/contractual provisions and administer contract proposals. Balance business interests with corporate guidelines and legal counsel input.
•    Reviews and approves documents for protection of the company’s contractual adherence to company policy.
•    Selects, develops, and evaluates personnel to ensure the efficient operation of the function.
•    Communicate with internal stakeholders the final contract structure for implementation and execution.
•    Trains and advises sales leaders on proper contract review and execution.
•    Develop appropriate metrics and communication processes to update the organization on contract status (including current negotiations, stalled negotiations and risks to the business) and with contract performance.  Lead discussions to drive improvements on highlighted areas of concern/risk.
•    Manage executed contracts via proper storage/retention of executed contracts/amendments, real time updates to the contract database repository and monitoring of expirations for internal review.
•    Lead the development and maintenance of standard contract language.
•    Lead and manage the customer change notification process which includes availability of contract parameters, timely review of required information with internal stakeholders and proper record retention of the communications.
•    Support contract activities of direct team member during periods of integration activities.
•    Direct the review of purchase orders for clarity/concerns on contractual content primarily for China purchase orders.
•    Lead the process to respond to customer’s supplier pre-qualifications queries and evaluations.
•    Lead the process to respond to online bids.

Education / Experience Requirements

•    Bachelor’s degree required. Law degree required.
•    Experience owning the process to balance customer and business requirements along with legal parameters to result in profitable relationships.
•    Minimum of three years experience managing Business to Business contract agreements is preferred.
•    Minimum of two years experience in manufacturing or healthcare industry preferred.
•    Previous experience supervising/directing the work of others preferred.

•    Strong negotiations skills
•    Extreme attention to detail, strong process management and sense of urgency (prioritization and meeting deadlines)
•    Excellent computer skills including Microsoft Office, including Word and Excel
•    Previous experience in Project Management preferred
